金融講ED: 渾水
投訴上市公司寫潮文 泛民很混帳
上月金融界最好笑的花生是上市公司中國地產集團(1838)報表的「Business Review and Outlook」出現潮文式寫法,算是淡市中的熱話和樂子。例如「整冧別國的資產市場和全球供應鏈布局」和「要消滅美國這個霸主不容易,歷史上要踢走大佬,都是要冒上先被大佬打死的風險」等口語式中文,的確跟上市公司正經八百的八股文官方寫法大相逕庭。
金融界和財經媒體一齊炒熱花生,瘋狂恥笑,後來這段文字被揭發跟專欄作家方卓如的文章高度相似。本來以為花生食完,事情已告一段落,豈料一班智力無下限的泛民議員居然聯署向港交所(388)行政總裁李小加投訴。聯署的泛民立法會議員包括李國麟、莫乃光、梁繼昌、郭榮鏗、葉建源、邵家臻。天啊,這班人到底幾時才肯做實事?情願他們像楊岳橋一樣去美國吃喝玩樂,也勝過做糗事丟人現眼。
一間公司「Business Review and Outlook」寫得諧趣,到底有無人受害?
股東嗎?沒事啊,股價沒因此大上大落,事實上要搜證這段文字可以傷害股東利益也不容易。上市公司嗎?兩睇啦,終歸輿論是恥笑公司管理層和財經公關團隊,都唔係好事;但另一方面,bad news is better than no news,公司曝光率空前地高,原理正如個個都恥笑《文匯報》生日,但《文匯報》的網上關注急升了。多了人睇,未必唔係好事。
至於好像港交所或其他working units都無乜所謂。梁繼昌是會計背景,他也知道只要核數師簽署,會計數字無礙,報表就大致無問題,當然核數師可以有保留意見啦。會計無事,其他公司秘書的文字功夫、printer都難有大問題。當然,這班泛民有投訴過語法錯誤,那就是printer的範疇,但同日友報訪問過教英文、前大律師林作點評英文內容,他說雖然譯得不好,但不算譯錯。
港交所現在實行的監管制度以披露為本(disclosure-based),即係好橙、爛橙都可以在市場出現,由市場股東決定,只要你無講大話,做足披露就可以了。報表寫潮文無觸犯任何法規問題,事實上人地管理層可能真心相信特朗普「整冧別國的資產市場」和「要消滅美國這個霸主不容易」,你堅係吹佢唔脹喎。如果股東覺得不妥,自然會沽貨,用市場機制懲罰上市公司,又或者行使股東權利在周年大會罷免董事。用不著你班泛民議員多此一舉,除了梁繼昌以外,還包括有法律背景的郭榮鏗,你班人到底識唔識財經?知唔知聯交所職能是甚麼?在這個情況,可以投訴的人只有《信報》和方卓如,因為內容高度相似,但人家都未覺得出手投訴抄襲,你這班有公權力的尊貴議員急甚麼?
至於莫乃光作為科技界代表,有時間處理無聊小事,倒不如努力叫聯交所增加資訊透明度,例如開放open source, api。你可知道聯交的data是有幾貴?之前又要做Facebook live財經節目的內容提供商申請牌照。又例如,叫佢哋執好少少個披露「難」吧,投資者已常常投訴系統難用和常常發生錯誤。腦子是很好的東西,真希望人人都可以有一顆。我身邊也有泛民議員朋友,實在不介意幫你們這班泛民上財經課101,學精少少。
