มหากาพย์ สงครามแย่งหุ้น หลุยส์ วิตตอง /โดย ลงทุนแมน
ตั้งแต่ลงทุนแมนเขียนเรื่องธุรกิจแบรนด์หรูมา เรื่องนี้เป็นเรื่องที่สนุกที่สุดเรื่องหนึ่ง
รู้ไหมว่า เมื่อ 44 ปีที่แล้ว หลุยส์ วิตตอง ยังมีร้านแค่ 2 สาขา
แต่จากจุดนั้น มีบุคคลหนึ่งที่ทำให้บริษัทนี้ กลายเป็นบริษัทที่ใหญ่สุดในฝรั่งเศสได้ใน 10 ปี

“Louis Vuitton” แบรนด์แฟชั่นหรู ที่มีอายุกว่า 167 ปี
แต่ก่อนหน้าที่แบรนด์จะเป็นที่รู้จักไปทั่วโลกนั้น
Louis Vuitton เป็นเพียงธุรกิจครอบครัว
ที่ดำเนินการผลิตกระเป๋าหนัง มายาวนานถึง 123 ปี
ก่อนที่ลูกเขยของทายาท รุ่นที่ 4 ที่ชื่อ Henry Racamier ได้เริ่มนำแบรนด์ Louis Vuitton สู่ตลาดโลก

ซึ่งลูกเขยคนนี้ ก็ถือเป็นส่วนสำคัญที่ทำให้เกิดการควบรวมกิจการกระเป๋าหนังครอบครัว
กับธุรกิจแบรนด์สุราหรูอย่าง “Moët Hennessy” จนเกิดขึ้นเป็นกลุ่มบริษัท
ที่ชื่อ LVMH Moët Hennessy Louis Vuitton หรือ “LVMH” ในปี 1987

นั่นคือจุดเริ่มต้นที่ทำให้ LVMH กลายเป็นบริษัทเจ้าของแบรนด์สินค้าหรูที่ใหญ่สุดในโลกมาจนถึงปัจจุบันและทำให้ CEO และผู้ถือหุ้นใหญ่อย่าง Bernard Arnault เป็นหนึ่งในบุคคลที่ร่ำรวยที่สุดในโลก

ย้อนกลับไปในปี 1821..
เด็กชายชาวฝรั่งเศสที่ชื่อ Louis Vuitton เกิดมาในครอบครัวที่มีอาชีพทำฟาร์ม
จนเมื่อเขาอายุได้ 10 ปี แม่ของเขาเสียชีวิตและพ่อของเขาก็แต่งงานใหม่

แต่แม่เลี้ยงของ Vuitton กลับปฏิบัติต่อเขาแบบแม่เลี้ยงใจร้าย
เมื่ออายุได้ 13 ปี Vuitton จึงตัดสินใจหนีออกจากบ้านไปที่กรุงปารีสโดยที่ไม่มีเงินติดตัว

โชคยังดีที่ช่างฝีมือทำหีบสำหรับการเดินทางของชนชั้นสูงรับ Vuitton ไปเป็นคนช่วยงาน
แต่เงินที่ได้ก็เพียงพอแค่ประทังชีวิตไปแต่ละวัน Vuitton จึงต้องกลายเป็นคนไร้บ้าน

เมื่อเวลาผ่านไป ฝีมือการทำหีบเดินทางของ Vuitton ก็เริ่มมีชื่อเสียงขึ้น
จนเขาได้ถูกเลือกไปเป็นช่างทำหีบเดินทางส่วนตัวให้กับพระชายาของนโปเลียนที่ 3

จนกระทั่งในปี 1854 Vuitton ก็ได้เริ่มเปิดร้านเป็นของตัวเอง โดยใช้ชื่อว่า Louis Vuitton หรือ LV

ผลิตภัณฑ์แรกของ LV ได้สร้างความเปลี่ยนแปลงให้กับหีบเดินทางแบบดั้งเดิมไปตลอดกาล

นั่นก็เพราะว่า LV ได้ปรับการออกแบบฝาหีบที่แต่เดิมเป็นทรงโค้งกลายมาเป็นหีบที่มีฝาแบน
ทำให้สามารถวางซ้อนกันได้ ขนส่งได้ง่ายขึ้น รวมถึงการเลือกใช้ผ้าแคนวาสแทนหนัง
ทำให้มีน้ำหนักเบาลงและกันน้ำได้

แม้ว่ากิจการของ LV จะต้องสะดุดหลายครั้งเพราะสงครามจนต้องเริ่มตั้งต้นใหม่หลายรอบ

แต่ชื่อเสียงของ LV ก็เป็นที่รู้จักมากขึ้นและขยับขยายอย่างค่อยเป็นค่อยไป จนสามารถส่งต่อกิจการจากรุ่นสู่รุ่น พร้อมกับการสร้างความเปลี่ยนแปลงให้กับวงการกระเป๋าหนังอีกมากมาย

แต่แม้ว่ากิจการจะดำเนินมาจนถึงทายาทรุ่นที่ 3
LV ก็ยังคงเป็นธุรกิจที่บริหารกันเองในครอบครัว

จนกระทั่งปี 1970 ทายาทรุ่นที่ 3 ของ LV ได้เสียชีวิตลง แต่เหล่าลูกชายที่เป็นทายาทรุ่นที่ 4 ตกลงกันไม่ลงตัวว่าจะบริหารงานกันอย่างไรและใช้กลยุทธ์ในทิศทางไหนเพื่อต่อยอดธุรกิจ
พวกเขาจึงนึกถึงสามีของน้องสาวที่ชื่อ “Henry Racamier”

Racamier ซึ่งในขณะนั้นอายุ 65 ปี กำลังจะเกษียณอายุจากการบริหารธุรกิจซื้อขายเหล็กของตัวเอง เหล่าทายาทรุ่นที่ 4 ของ LV จึงเสนอให้ Racamier มาเทกโอเวอร์ LV ไปในปี 1977

ในขณะนั้น LV มีเพียง 2 สาขาในปารีสและนีซ มีพนักงานอยู่ราว 100 คน และมีรายได้ต่อปีประมาณ 460 ล้านบาท

Racamier ที่มีประสบการณ์บริหารธุรกิจจนประสบความสำเร็จมาอย่างยาวนาน ก็ได้เข้ามาสร้างการเปลี่ยนแปลงครั้งสำคัญ ด้วยการปฏิรูป LV จากกิจการครอบครัวให้กลายมาเป็นธุรกิจขนาดใหญ่ขึ้น

ผลงานที่สำคัญก็คือ การเจาะตลาดในฝั่งเอเชียโดยเฉพาะที่ประเทศญี่ปุ่น
โดย Racamier มองว่าตลาดสินค้าหรูได้เปลี่ยนไปแล้ว เพราะช่วงนั้นผู้คนที่ร่ำรวยมีมากขึ้นทั่วโลก
ซึ่งในปี 1984 Racamier ก็สามารถนำกิจการ LV จดทะเบียนในตลาดหลักทรัพย์ได้สำเร็จ

ในปี 1987 หรือผ่านไป 10 ปีหลังจากการเข้ามาบริหารของ Racamier LV สามารถขยายสาขาจนมี 135 แห่งทั่วโลก โดย 20 สาขาในนี้ตั้งอยู่ที่ประเทศญี่ปุ่น และบริษัทมีรายได้ต่อปีสูงถึง 88,600 ล้านบาท
คิดเป็นการเพิ่มขึ้นกว่า 192 เท่าในเวลา 10 ปี โดยเป็นรายได้ที่มาจากเอเชียกว่า 40%

ปีนั้นเอง LV ได้รับข้อเสนอควบรวมกิจการจาก Moët Hennessy หรือเรียกว่า MH
ที่เป็นบริษัทสุราหรูที่ขายแชมเปญและบรั่นดีชั้นนำของโลก

สาเหตุที่ MH ต้องการหาพาร์ตเนอร์มาควบรวมกิจการก็เพราะว่าหุ้นของ MH มีสัดส่วนคนในตระกูลผู้ก่อตั้งถืออยู่รวมกัน 22% มีวอลูมการซื้อขายเพิ่มขึ้นผิดปกติ ตระกูลเจ้าของ MH กลัวมีคนแอบมาเทกโอเวอร์กิจการ

“Alain Chevalier” ซึ่งเป็น CEO ของ MH ในขณะนั้น จึงเสนอให้ควบรวมกิจการขึ้น ซึ่งผลก็คือครอบครัวผู้ก่อตั้ง ทั้งฝั่ง LV และ MH จะสามารถถือหุ้นได้รวมกัน 51% และยังมีอำนาจควบคุมกิจการต่อไปด้วย

จุดนี้เอง ถือเป็นจุดเริ่มต้นของกลุ่มบริษัท LVMH ที่ในตอนนั้นมีมูลค่าบริษัทราว 295,000 ล้านบาท และเป็นบริษัทที่ใหญ่สุดในฝรั่งเศสในขณะนั้น

แต่การเริ่มต้นนี้กลับไม่ได้สวยงามแบบที่คิด
เพราะหลังจากควบรวมกิจการไปได้ไม่กี่สัปดาห์ Racamier และ Chevalier ก็เริ่มพบว่าทั้งคู่มีแนวทางการบริหารที่ไม่ค่อยตรงกันและเริ่มขัดแย้งกันเรื่องอำนาจในการบริหาร

ก่อนที่ในปีถัดมา วอลูมซื้อขายหุ้น LVMH ก็มากผิดปกติอีกครั้ง..

และด้วยเหตุผลเดิมที่ตระกูลเจ้าของ MH กลัวโดนแอบเทกโอเวอร์กิจการ
Chevalier เลยไปเจรจากับบริษัทเบียร์ชื่อดังอย่าง Guinness ให้เข้ามาถือหุ้นของ LVMH

โดยในตอนแรก Chevalier บอก Racamier ไว้ว่าจะให้ Guinness ถือหุ้น LVMH 3.5%
แต่สุดท้ายกลับตกลงให้หุ้น Guinness มากถึง 20%

พอ Racamier ฝั่งตระกูล Vuitton เห็นแล้วว่า LVMH กำลังจะถูกครอบครองโดยสินค้าจำพวกเครื่องดื่มแอลกอฮอล์ เลยเริ่มหาพาร์ตเนอร์ที่เป็นเจ้าของกิจการแบรนด์แฟชั่นหรูเข้ามาเสริมทัพเพื่อหวังได้เสียงสนับสนุนในการบริหารงาน

ศึกแย่งชิงความเป็นใหญ่ใน LVMH จึงเริ่มต้นขึ้น
และพาร์ตเนอร์ที่ Racamier เล็งไว้ก็คือชายที่ชื่อว่า “Bernard Arnault”

Arnault เติบโตมาในครอบครัวที่ร่ำรวยอยู่แล้ว พอเรียนจบก็เริ่มทำงานในบริษัทก่อสร้างที่ปู่ของเขาเป็นเจ้าของ

จนกระทั่งปี 1984 บริษัทแม่ของแบรนด์แฟชั่นหรูอย่าง Christian Dior ที่ชื่อว่า Boussac ได้ยื่นล้มละลาย รัฐบาลฝรั่งเศสซึ่งเข้าไปควบคุมกิจการหลังล้มละลาย จึงประกาศหาผู้สนใจเข้ามาซื้อกิจการต่อ

Arnault ที่ในขณะนั้นอายุ 35 ปี เห็นเข้าก็สนใจ และเกิดความฝัน ในการสร้างบริษัทที่รวบรวมแบรนด์หรูทั่วประเทศเข้าไว้ด้วยกัน

Arnault ใช้เงินจากตระกูลตัวเอง 490 ล้านบาทและเงินกู้ยืมจากสถาบันการเงินอีก 1,480 ล้านบาท เพื่อเข้าซื้อกิจการ Boussac

หลังเข้าซื้อกิจการสำเร็จ Arnault ก็เดินหน้าปลดพนักงานออกกว่า 9,000 คน และขายบางธุรกิจในเครือที่ฉุดรายได้ออกจนได้เงินมาทั้งหมด 16,400 ล้านบาท

นั่นจึงทำให้ Racamier สนใจเป็นพาร์ตเนอร์กับ Arnault โดยยื่นข้อเสนอว่าจะให้ครอบครองหุ้น LVMH 25% ซึ่งเมื่อรวมกับส่วนที่ครอบครัว Vuitton ถือแล้ว จะเป็นสัดส่วนที่มากกว่าฝั่งของกลุ่ม MH และ Guinness

Arnault สนใจข้อเสนอนี้ จึงไปปรึกษากับที่ปรึกษาทางการเงินของเขา แต่ที่ปรึกษาคนนั้นได้เตือนว่าอย่าประกาศสงครามกับอีกฝั่งหนึ่ง เพราะอำนาจบริหารของ MH และความแข็งแกร่งทางการเงินของ Guinness นั้นเหนือกว่า

ซึ่ง Arnault ก็รับฟังคำเตือนนั้น
แต่แทนที่ Arnault จะไม่รับข้อเสนอ กลับกลายเป็นว่า Arnault ไปจัดตั้งบริษัทโฮลดิงร่วมกับ Guinness แทน ซึ่งได้เข้าไปซื้อหุ้น LVMH มา 24% ของจำนวนหุ้นทั้งหมด

พอเรื่องเป็นแบบนี้ ฝั่งตระกูล LV จึงโกรธมากเมื่อรู้ว่าโดนหักหลัง
และทางตระกูลก็ได้ทำการไล่ซื้อหุ้นเพิ่มจนมีสัดส่วน 33%

ส่วนทาง Arnault พอรู้เรื่องนี้เข้า ก็แอบซื้อหุ้นเพิ่มด้วยตัวเอง
จนทำให้ฝั่ง Arnault และ Guinness มีหุ้นรวมกัน 37.5%

จนในที่สุด Arnault ได้กลายมาเป็นหนึ่งในผู้ถือหุ้นใหญ่ที่สุดของ LVMH
ซึ่งก็มีอำนาจในการจัดการโหวตแต่งตั้งให้พ่อของเขามาเป็นประธานบอร์ดของ LVMH

เรื่องดังกล่าวก็ได้ทำให้ Racamier ยิ่งโกรธมากขึ้นไปอีก เพราะตำแหน่งนี้
แต่เดิมตกลงกันไว้ว่าจะให้คนจากตระกูล Vuitton รับตำแหน่ง เท่านั้น

เมื่อความขัดแย้งเริ่มบานปลาย Racamier และ Chevalier จึงเริ่มเจรจากัน
โดยทั้งคู่เห็นว่าควรแยก LV และ MH ออกจากกันไปเลย เพื่อไม่ให้ความขัดแย้งยืดเยื้อไปมากกว่านี้

แต่ Arnault กลับคิดว่าข้อตกลงนี้เกิดขึ้น
เพราะทั้งคู่ต้องการยึดอำนาจบริหารจาก Arnault กลับไป
Arnault ที่ไม่ต้องการให้บริษัทแยกออกจากกัน จึงทุ่มเงินซื้อหุ้น LVMH จากในตลาดอีกครั้ง
จนทำให้ฝั่ง Arnault และ Guinness ถือหุ้นรวมกันกว่า 43.5%

ซึ่งเงินทั้งหมดที่ Arnault ทุ่มซื้อหุ้น LVMH ไปทั้งหมด คิดเป็นมูลค่ากว่า 85,300 ล้านบาท

มาถึงตรงนี้ Chevalier ที่ไม่มีหุ้นอยู่ในมือมากพอ จึงเสียอำนาจการบริหารให้ Arnault ไปโดยปริยาย
และสุดท้ายก็ต้องออกจากบริษัทไป
นั่นจึงเหลือเพียงการต่อสู้ระหว่าง Arnault และ Racamier..

ฝั่ง Arnault ได้ยื่นคำขอไปที่ศาลเพื่อเปิดประชุมผู้ถือหุ้นด่วน โดยจะยกวาระเรื่องการออกกฎให้บริษัทย่อย LV มีเกณฑ์เกษียณอายุเมื่ออายุ 70 ปี ซึ่งถ้ามีผลบังคับใช้ ก็จะทำให้ Racamier ที่ในตอนนั้นอายุ 70 กว่า พ้นจากบริษัททันที

ฝั่ง Racamier ที่ไหวตัวทันก็ยื่นฟ้องต่อศาลเช่นกัน โดยเรียกร้องให้หนึ่งในการเข้าซื้อหุ้น LVMH ของ Arnault เป็นโมฆะ ซึ่งถ้าชนะคดี จำนวนหุ้นที่ Arnault ถืออยู่จะลดลงเหลือใกล้เคียงกับจำนวนที่กลุ่ม LV ถืออยู่

สุดท้ายแล้วศาลก็ตัดสินให้การเข้าซื้อหุ้นของ Arnault ไม่มีความผิด
Arnault จึงยังครอบครองหุ้นส่วนใหญ่ของ LVMH ได้ตามเดิม
ซึ่งก็เหมือนเป็นการบีบบังคับไปในตัวให้ Racamier ต้องลาออกในปี 1989 หรือเพียง 2 ปีหลังจากที่ LVMH เริ่มต้นขึ้น

หลังจากไม่มีส่วนเกี่ยวข้องกับกิจการที่ครอบครัวตัวเองสร้างขึ้นมาแล้ว Racamier ก็หันไปทำงานที่เขารัก ด้วยการจัดตั้งองค์กรที่สนับสนุนด้านดนตรีและศิลปะ จนกระทั่งเสียชีวิตลงในปี 2003

มาถึงตรงนี้ ถ้าใครอยากเข้าใจแบบสรุป ก็คือ
ปี 1821 เด็กชายชาวฝรั่งเศสที่ชื่อ Louis Vuitton เกิดขึ้น
ปี 1854 Vuitton ได้เริ่มเปิดร้านทำหีบเป็นของตัวเอง

ผ่านไป 123 ปี..
ปี 1977 ลูกเขยของตระกูล Vuitton ชื่อ Racamier เข้ามาเทกโอเวอร์ บริษัท Louis Vuitton
ตอนปี 1977 บริษัท Louis Vuitton มีเพียง 2 สาขา หลังจากนั้น Racamier ก็ขยายกิจการให้เติบโต

ผ่านไป 10 ปี
ปี 1987 บริษัท Louis Vuitton เป็นบริษัทใหญ่ที่สุดในฝรั่งเศส และควบรวมกิจการกับ Moët Hennessy เป็น LVMH

ผ่านไปเพียง 2 ปี..
ปี 1989 เกิดเรื่องสงครามแย่งกิจการตามที่กล่าวในเรื่องข้างต้น Bernard Arnault บุคคลนอกเป็นผู้ชนะสงคราม มีอำนาจในการบริหาร LVMH นับตั้งแต่นั้นมา

หลังจากนั้น Arnault ได้ขยายอาณาจักร LVMH ด้วยการเข้าครอบครองกิจการแบรนด์หรูชื่อดังอย่างต่อเนื่อง
จน LVMH ครอบครองแบรนด์หรู กว่า 75 แบรนด์

ปัจจุบัน LVMH กลายมาเป็นเจ้าของธุรกิจแบรนด์หรูใหญ่สุดในโลก
และถือเป็นบริษัทที่มีมูลค่ามากที่สุดในยุโรป ด้วยมูลค่าบริษัทกว่า 12.6 ล้านล้านบาท

ซึ่งนั่นก็ได้ทำให้ Arnault มีทรัพย์สินกว่า 6 ล้านล้านบาท
ขึ้นแท่นเป็นหนึ่งในมหาเศรษฐีที่รวยสุดในโลกตอนนี้เลยทีเดียว..
